• Client: the party using the services

• Services: IT quick scan, consulting, and other services

Article 2. Applicability

These terms apply to all services and agreements.

Article 3. Services

3.1 IT Quick Scan

Analysis of the IT environment with advisory report.

3.2 Consulting Services

Strategic IT consulting.

Article 4. Formation of agreement

The agreement is concluded after approval of the quotation.

Article 5. Execution

• Best efforts obligation

• No result obligation

Article 6. Client obligations

The client provides all necessary information in a timely manner.

Article 7. Payment

• Prices excluding VAT

• Payment within [14/30] days

Article 8. Liability

• Limited to invoice amount

• No indirect damages

Article 9. Confidentiality

Both parties keep confidential information secret.

Article 10. Intellectual property

All documents remain the property of the contractor.

Article 11. Duration and termination

• Termination by mutual agreement

• Notice period within 7 days after project start

Article 12. Force majeure

No liability in case of force majeure.

Article 13. Applicable law

Dutch law applies.

Article 14. Disputes

Disputes are submitted to the competent court.
